When rasing an action (legalise for suing some carrot) it is imperative that you have all potential persons, whether natural (ie human) or legal entities, included as parties to the action in case the main actors says ‘it wisnae me’ and thus scuppering the whole proceedings, or causing there to be delay or further process which costs time and money for the pursuer (entity raising the proceedings). Also, gives more avenues for getting redress. For example, you win damages against a company which goes bust but the owner effs off in his Ferrrari. If he is not enrolled as a part to the proceedings he keeps his Ferrari.

Very much simplified, but hope you get the gist.
